1. Eligibility & Registration Requirements
To become an authorised PCD Pharma Franchise partner of Plenum Biotech Private
Limited, the applicant must meet all of the following requirements:

Hold a valid Drug License (Retail or Wholesale) issued by the
relevant State Licensing Authority under the Drugs & Cosmetics Act, 1940.

Possess a valid GST Registration Certificate in accordance with
the Goods and Services Tax Act, 2017.

Submit a duly completed Franchise Application Form along with
self-attested copies of all required documents.

Have no prior history of regulatory violations, drug license cancellations, or
blacklisting by any pharmaceutical company.

Be at least 18 years of age and legally competent to enter into a contract under
the Indian Contract Act, 1872.
Note: Plenum Biotech reserves the right to accept or reject any
application at its sole discretion without assigning reasons.
2. Territory & Monopoly Rights Policy
2.1 Exclusive Territory Allocation
Upon successful registration, each franchise partner is assigned an
exclusive geographic territory (district, taluka, or PIN code
zone) within which they hold sole rights to market and distribute Plenum Biotech
products under the franchise agreement.
2.2 Scope of Monopoly Rights
- Plenum Biotech will not appoint another franchise partner within the same territory for the same product range.
- Monopoly rights apply to the specific product category/division selected at onboarding.
- Rights are non-transferable and non-sublicensable without written consent from Plenum Biotech.
2.3 Territory Expansion
Partners wishing to expand into additional territories may submit a written
request. Approval is subject to availability and satisfactory performance in the
current territory, assessed on a quarterly basis.
2.4 Breach of Territory
Selling or promoting Plenum Biotech products outside the allotted territory
constitutes a breach of this policy and may result in immediate termination of the
franchise agreement without refund.
3. Product & Pricing Policy
3.1 Product Portfolio
Franchise partners have access to Plenum Biotech's portfolio of
2500+ pharmaceutical products across the following therapeutic
categories:
General Medicine
Cardio-Diabetic
Gynaecology
Pediatric Care
Dermatology & Cosmeceuticals
Orthopedics
Neurology & Psychiatry
Nephrology
Ayurvedic & Herbal
Nutraceuticals
3.2 Pricing Policy
- All products are supplied at the Net Rate (NR) as listed in the current price list issued by Plenum Biotech.
- Maximum Retail Price (MRP) is printed on all packs as per DPCO / NPPA guidelines.
- Franchise partners are free to offer trade discounts within the MRP; under-cutting below the company's suggested trade price is discouraged.
- Price lists are subject to revision. Partners will be notified at least 30 days in advance of any price change.
3.3 Minimum Order Quantity (MOQ)
A minimum first order value applies as communicated during onboarding. Subsequent
orders have no mandatory minimum unless specified for promotional schemes.
4. Investment & Payment Terms
4.1 Initial Investment
The initial investment to start a PCD Pharma Franchise with Plenum Biotech
ranges from ₹25,000 to ₹50,000 depending on the selected
product range and territory size. This investment covers the first product
order and promotional starter kit.
4.2 Payment Modes
- Bank Transfer (NEFT / RTGS / IMPS) — preferred
- Account Payee Cheque or Demand Draft in favour of "Plenum Biotech Private Limited"
- UPI / Online Payment Gateway (as applicable)
Cash payments are not accepted. All transactions must be backed
by a valid invoice and GST receipt.
4.3 Credit Policy
All orders are dispatched on a prepayment basis. Credit
facilities may be extended to long-standing partners (minimum 12 months of
satisfactory business) on a case-by-case basis after written approval from the
management.
4.4 No Refund Policy on Consumed Goods
Products that have left the Plenum Biotech warehouse in good condition are
non-refundable unless they are found to be defective, expired, or wrongly
dispatched (see Section 6 – Quality Assurance).
5. Marketing & Promotional Support Policy
Plenum Biotech provides every franchise partner with a comprehensive
Promotional Starter Kit at no extra cost, including:
- Visual Aids & Product Catalogues
- MR (Medical Representative) Bags
- Doctor Prescription Pads
- Visiting Cards (branded)
- Product Samples
- Notepads & Stationery
- Promotional Bottles & Bags
- Digital Marketing Creatives
- Product Knowledge Manuals
- New Launch Updates & Mailers
5.1 Approved Marketing Conduct
- All promotional claims must align with DCGI-approved product indications.
- Partners must not make false, misleading, or unverified therapeutic claims.
- Any custom marketing material created by the partner must be pre-approved in writing by Plenum Biotech before distribution.
- Use of Plenum Biotech's logo, brand name, or trademarks in digital/print media is permitted only within the scope of the franchise agreement.
5.2 Digital & Social Media Policy
Partners may promote Plenum Biotech products on social media using company-approved
creatives. Publishing negative or misleading content about competing companies,
their products, or Plenum Biotech's own brand is strictly prohibited and may result
in immediate termination.
6. Quality Assurance Policy
Quality is the foundation of Plenum Biotech's operations. All products are
manufactured and supplied under the following standards:
- WHO-GMP Certified manufacturing facilities
- ISO-compliant quality management systems
- DCGI-approved formulations for safety and efficacy
- Stringent in-process quality checks at every production stage
- Batch-level traceability from raw material sourcing to final dispatch
6.1 Reporting Quality Issues
If a franchise partner receives products that are damaged, defective, wrongly
labelled, or near-expiry, they must report the issue within
48 hours of delivery with photographic evidence.
Plenum Biotech will arrange replacement or credit note within 7 working days
of verified complaint acceptance.
6.2 Expiry & Returns
Products with less than 3 months of shelf life remaining at the time of dispatch
are not sent unless specifically requested by the partner. Partners are responsible
for managing their own inventory to minimise expiry.
7. Supply & Logistics Policy
- Orders are dispatched within 24 hours of payment confirmation on all working days.
- Products are shipped via reputed courier / transport partners with trackable consignments.
- Shipping charges, if applicable, are communicated at the time of order confirmation.
- Plenum Biotech is not liable for delays caused by natural disasters, strikes, government restrictions, or courier failures beyond its control.
- Partners are encouraged to maintain a 30-day safety stock to prevent stockouts.
7.1 Cold-Chain Products
Products requiring cold-chain handling (vaccines, biologicals, certain injectables)
are dispatched with appropriate temperature-controlled packaging. Partners must
ensure cold-chain compliance at their storage facilities.
8. Partner Obligations
As an authorised PCD Pharma Franchise partner, you agree to:
- Maintain all required regulatory licenses (Drug License, GST) in valid and active status throughout the partnership.
- Store all pharmaceutical products as per prescribed storage conditions (temperature, humidity, light).
- Promote products ethically and in accordance with Schedule H / H1 / X regulations as applicable.
- Provide accurate and timely sales reports when requested by Plenum Biotech.
- Refrain from distributing or selling products of direct competitors that are identical in composition to Plenum Biotech products within the allotted territory.
- Attend product training sessions and update programs organised by Plenum Biotech.
- Not alter, repackage, relabel, or tamper with any Plenum Biotech product.
9. Intellectual Property
All trademarks, trade names, logos, product names, formulations, and promotional
materials are the exclusive intellectual property of
Plenum Biotech Private Limited. Franchise partners are granted
a limited, non-exclusive, non-transferable licence to use these
assets solely for promoting Plenum Biotech products within their allotted territory
during the active term of the franchise agreement. No ownership or title in any
intellectual property is transferred to the franchise partner.
Upon termination of the franchise agreement for any reason, the partner must
immediately cease all use of Plenum Biotech's intellectual property and return or
destroy all branded materials.
10. Termination Policy
10.1 Termination by Partner
A franchise partner may terminate the agreement by providing
30 days' written notice to Plenum Biotech. All outstanding
dues must be cleared, and remaining marketable stock may be returned subject to
mutual written agreement.
10.2 Termination by Plenum Biotech
Plenum Biotech reserves the right to terminate the franchise agreement immediately
and without notice in the following circumstances:
- Breach of territory rights (selling outside allotted area)
- Failure to maintain valid Drug License or GST registration
- Making false claims about products or regulatory approvals
- Non-payment of dues for more than 60 days
- Misuse of Plenum Biotech's brand, logo, or intellectual property
- Engaging in fraudulent, unethical, or illegal activities
- Tampering with or adulterating any product
10.3 Effect of Termination
Upon termination, all franchise rights, territory exclusivity, and licences to
use Plenum Biotech's intellectual property are immediately revoked. Sections 9
(Intellectual Property), 11 (Dispute Resolution), and 12 (Privacy & Data)
survive termination.
11. Dispute Resolution
Both parties agree to attempt resolution of any dispute arising out of or relating
to this franchise policy through mutual discussion and negotiation
within 30 days of the dispute being raised in writing.
If resolution is not reached through negotiation, the matter shall be referred to
Arbitration under the Arbitration and Conciliation Act, 1996,
with a sole arbitrator mutually agreed upon by both parties.
This policy is governed by and construed in accordance with the laws of India.
Subject to the arbitration clause above, the courts at
Panchkula, Haryana shall have exclusive jurisdiction.
12. Privacy & Data Policy
12.1 Information We Collect
When you register as a franchise partner or use our website, we may collect:
your name, business name, Drug License number, GST number, address, contact
number, email address, bank account details (for refunds/credits), and order history.
12.2 How We Use Your Information
- Processing franchise applications and orders
- Sending product updates, promotional materials, and scheme notifications
- Regulatory compliance and audit purposes
- Improving our services and partner experience
12.3 Data Sharing
Plenum Biotech does not sell or rent franchise partner data to third parties.
Data may be shared with logistics partners, regulatory authorities, or payment
processors strictly on a need-to-know basis.
12.4 Data Security
We implement industry-standard physical and digital security measures to protect
your data. Partners are responsible for keeping their own login credentials secure.
12.5 Your Rights
You may request access to, correction of, or deletion of your personal data by
contacting us at the address below. We will respond within 30 days.
13. Amendments to This Policy
Plenum Biotech reserves the right to amend, update, or revise this Franchise
Policy at any time. Changes will be communicated to registered franchise partners
via email or official circular at least 15 days before the
revised policy takes effect. Continued participation in the franchise programme
after the effective date constitutes acceptance of the revised policy.
